End User License Agreement (EULA)

This End User License Agreement ("EULA") applies to all software products developed and distributed by 10K Audio GmbH ("10K Audio"). By installing, activating, or using any 10K Audio software ("Software"), you agree to be bound by the terms of this EULA.

1. License Grant

10K Audio GmbH ("10K Audio") grants you a non-exclusive, non-transferable license to install and use the Gyro software instrument ("Software") on up to two (2) personal devices. This license permits the creation of original music and audio content using the Software for both commercial and non-commercial purposes.

2. Activation and Authorization

The Software requires activation via an internet connection using a digital license card provided at purchase. Activation will link your license to specific hardware identifiers. You may need to reactivate the Software if you change your hardware or replace your device. During activation, a digital fingerprint of your hardware and basic personal information (name and email) will be securely transmitted and stored in accordance with our Privacy Policy.

3. Permitted Uses

You are authorized to:

  • Use the Software and included sound content, presets, chord-sets, patterns, and audio loops to create original musical works and audio productions.
  • Commercially exploit, share, and distribute original works created with the Software without additional license fees or royalties to 10K Audio.

4. Restrictions and Prohibited Uses

You may not:

  • Resell, rent, lease, sublicense, or redistribute the Software or your license card.
  • Transfer your license without following the explicit license transfer procedure outlined in Section 5.
  • Use the Software, its presets, sound content, samples, chord-sets, patterns, or recorded audio loops to create standalone products such as virtual instruments, sample libraries, loop packs, MIDI chord packs, or similar offerings.
  • Use the Software or its sound content to train artificial intelligence, machine learning models, algorithms, or similar technologies.
  • Reverse-engineer, disassemble, modify, or otherwise tamper with the Software.

5. License Transfers

You may transfer your license once to another individual upon written consent from 10K Audio. To initiate a license transfer, contact support@10k.audio. Upon transfer:

  • Your license will be permanently deactivated.
  • The new user will receive a new digital license card.
  • You must uninstall and permanently delete all copies of the Software from your devices.

6. Not For Resale (NFR) Licenses

Software provided to you as NFR is strictly for demonstration, evaluation, testing, or promotional purposes. NFR licenses cannot be sold, transferred, or exchanged.

7. Data Privacy

Activation and use of the Software involve processing your personal data. Our practices comply with the GDPR and are outlined in our Privacy Policy. By using the Software, you consent to this processing.

8. Third Party and Open Source Software

This Software includes open source and third-party components that are used under their respective licenses. A list of these components and their license terms can be found in the Third Party License Information document.

9. Warranty and Limitation of Liability

The Software is provided “as is,” without warranties regarding performance, compatibility, or fitness for any particular purpose. To the extent permitted by law, 10K Audio will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Software.

10. Termination

This license is effective until terminated. Your rights under this EULA will terminate immediately without notice if you fail to comply with any terms herein. Upon termination, you must uninstall and destroy all copies of the Software and related materials.

11. Governing Law and Jurisdiction

This agreement is governed by the laws of Germany. For EU residents, statutory consumer protections of your country of residence remain unaffected. Disputes shall be resolved in the courts of Berlin, Germany.

13. Updates & Upgrades

  • Minor updates within the same major version (e.g., v1.1, v1.2) are provided free of charge.
  • Major upgrades (e.g., v2.0) may require a separate purchase or upgrade fee as set out on our website or in our Terms & Conditions.
  • Any updates, upgrades, patches, or hotfixes are licensed—not sold—and remain subject to this EULA.
  • 10K Audio may modify, discontinue, or replace features from time to time. Nothing in this EULA obligates 10K Audio to provide updates beyond the current major version.

14. Acceptance of Terms

By installing or activating the Software, you acknowledge you have read, understood, and agree to abide by this EULA in full.
